Welcome to Time Insights! These Terms of Service ("Terms") govern your access to and use of our calendar analytics service. By using Time Insights, you agree to these Terms. Please read them carefully.

1. Agreement to Terms

By creating an account, accessing, or using Time Insights ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using Time Insights, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current

3. Service Description

Time Insights is a calendar analytics platform that connects to your Google Calendar to provide insights about your time usage, meeting patterns, and schedule health. We offer:

• Free Tier: Basic analytics including summary statistics and one time distribution chart
• Basic Tier: Advanced analytics including additional charts, CSV export, attendee breakdowns, and focus time insights

4. Account Registration

4.1 Account Creation

• You must sign up using Google OAuth authentication
• You are responsible for maintaining the security of your account
• You must immediately notify us of any unauthorized access
• You may not share your account credentials with others

4.2 Account Accuracy

You agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

4.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent trial limitations or for other purposes is prohibited.

5. Subscription and Billing

5.1 Free Tier

• No payment required
• Access to basic features as described on our website
• Subject to fair use policies
• We reserve the right to modify or discontinue free features at any time

5.2 Basic Tier Subscription

• Price: $5.00 USD per month
• Billing Cycle: Monthly, charged on the same day each month
• Payment Method: Processed securely through Stripe
• Auto-Renewal: Subscriptions automatically renew unless cancelled

5.3 Free Trial

• New users receive a 14-day free trial of the Basic tier
• Payment information is required to start the trial
• You will not be charged during the trial period
• After 14 days, your subscription will automatically begin and you will be charged $5.00/month
• Cancel anytime during the trial to avoid charges
• Free trial is available once per user

5.4 Payment Authorization

By providing payment information, you authorize us to charge your payment method for the subscription fees. You agree to:

• Provide current, complete, and accurate billing information
• Update payment information promptly if it changes
• Pay all charges at the prices in effect when incurred
• Be responsible for all charges, including taxes and fees

5.5 Failed Payments

• If payment fails, we will attempt to charge your payment method again
• We may suspend or downgrade your account if payment fails repeatedly
• You remain responsible for uncollected amounts

5.6 Price Changes

• We reserve the right to change subscription prices with 30 days' notice
• Price changes will apply to your next billing cycle after notice
• Continued use after price change constitutes acceptance
• You may cancel before the price change takes effect

6. Cancellation and Refunds

6.1 Cancellation Policy

• You may cancel your subscription at any time from Account Settings
• Cancellation takes effect at the end of the current billing period
• You will retain access to Basic features until the end of the paid period
• After cancellation, your account will automatically downgrade to Free tier
• No partial refunds for unused time within a billing period

6.2 Refund Policy

• 30-Day Money-Back Guarantee: If you're not satisfied within the first 30 days of your paid subscription, we'll refund your payment in full
• Refund requests must be submitted to support within 30 days of initial charge
• Refunds are processed to the original payment method within 7-10 business days
• Abuse of refund policy may result in account termination

7. Google Calendar Access

7.1 Permission and Scope

• You grant us permission to access your Google Calendar data
• We only access calendars you explicitly select
• Calendar data is processed client-side in your browser
• We store encrypted OAuth tokens to enable automatic syncing

7.2 Data Usage

• Calendar data is used solely to provide analytics insights
• We do not sell or share your calendar data with third parties
• See our Privacy Policy for detailed information

7.3 Disconnection

• You may disconnect your Google Calendar at any time
• Disconnecting will delete cached calendar data from our servers
• You can also revoke access through your Google Account settings

8. Acceptable Use

8.1 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data
• Create multiple accounts to abuse free trials
• Resell or commercially exploit the Service without permission
• Interfere with other users' use of the Service
• Impersonate others or misrepresent your affiliation

8.2 Fair Use

Free tier users are subject to fair use policies. Excessive use that impacts system performance may result in temporary throttling or account limitation.

9. Intellectual Property

9.1 Our Property

Time Insights and all associated content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. This includes:

• Software code and algorithms
• User interface and design
• Logos, trademarks, and branding
• Documentation and help content

9.2 Your Data

You retain all rights to your calendar data. By using our Service, you grant us a limited license to access and process your data solely to provide the Service.

9.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without compensation or attribution.

10. Disclaimers and Limitations

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding accuracy, reliability, or completeness of analytics

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or cost of substitute services
• Any damages exceeding the amount you paid us in the past 12 months

10.3 Data Loss

While we implement reasonable safeguards, we are not responsible for loss of your data. You are responsible for maintaining backups of important information.

10.4 Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services including Google Calendar and Stripe.

11. Indemnification

You agree to indemnify, defend, and hold harmless Time Insights and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any laws or regulations

12. Account Termination

12.1 Termination by You

• You may delete your account at any time from Account Settings
• Deletion is permanent and cannot be undone
• Your data will be deleted within 30 days

12.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• We suspect fraudulent or illegal activity
• Required by law or court order
• You abuse refund policies or payment systems

12.3 Effect of Termination

• Access to the Service will be immediately revoked
• Unpaid fees remain due and payable
• No refunds for partial months upon termination by us for cause
• Provisions that should survive will remain in effect

13. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by:

• Posting updated Terms on our website
• Sending email notification to your registered address
• Displaying a notice in the application

Changes become effective 30 days after notice. Continued use after changes indicates acceptance. If you disagree with changes, you may cancel your account.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@timeinsights.app. We will attempt to resolve disputes within 60 days.

14.2 Binding Arbitration

If informal resolution fails, you agree that disputes will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

• Arbitration will be conducted by a neutral arbitrator
• Each party will bear their own costs and attorney's fees
• Arbitration will be conducted under the rules of the American Arbitration Association
• The arbitrator's decision is final and binding

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

14.4 Opt-Out

You may opt out of arbitration by sending written notice to legal@timeinsights.app within 30 days of first accepting these Terms.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

15.2 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Time Insights regarding the Service.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

15.4 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.6 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet outages.
